LICENSE AGREEMENT

This Agreement is made by and between THE REGENTS OF THE UNIVERSITY OF CALIFORNIA (“the University”) and (“Author”), effective on _, 20 , and governs the parties’ rights and obligations with respect to Author’s article entitled
(“the Article”).

1. License Grants. In exchange for the publication of the Article in the UC IRVINE JOURNAL OF INTERNATIONAL, TRANSNATIONAL, AND COMPARATIVE LAW (“the Journal”), Author grants the following licenses to the University:
1. Author hereby grants and agrees to grant to the University an irrevocable, royalty-free exclusive license of the right of first publication of the Article.
2. Author hereby grants and agrees to grant to the University an irrevocable, royalty-free, worldwide, nonexclusive license to use the Article as follows:
1. to publish, and license others to publish, the Article (or any part of the Article) in the Journal, in facsimile reprints or microforms, or as part of a collection published by the Journal;
2. to make, and license others to make, photocopies of the Article (or any part of the Article) for classroom use;
3. to disseminate, and license others to disseminate, the Article (or any part of the Article)
in electronic form, including but not limited to dissemination on the World Wide Web, by computer-assisted legal research services (such as, for example, Westlaw, Lexis, and Hein Online), in electronic databases (whether online, CD-ROM, or otherwise), and through document delivery services; and
1. to create, and license others to create, abstracts of the Article.
2. Author hereby grants and agrees to grant to the University an irrevocable, royalty-free, worldwide, nonexclusive license to authorize any third party to reprint all or any part of the Article. The University shall notify Author in writing that it intends to authorize a third party to reprint the Article at least thirty days prior to doing so. The University shall not authorize a third party to reprint the Article if Author notifies the University in writing, within twenty days after the University’s written notice to Author, that Author objects to such reprinting. The University agrees to ensure that any third party that reprints the Article shall include a notice indicating that the Article was originally published in the UC Irvine Journal of International, Transnational, and Comparative Law, giving Author’s name and the Article’s full title, and citing the volume and page number at which the Article originally appeared.
Author hereby grants and agrees to grant to the University all rights necessary to engage in the activities licensed herein, including without limitation the rights to reproduce and distribute copies or phonorecords of, prepare derivative works based upon, publicly perform, and publicly display the Article.
Author retains all other rights in the Article.
1. Editing and Publication. The Article shall not be published in the Journal unless it is acceptable in its final form to both Author and the Journal.
2. Attribution by Author. If Author grants any third party the right to reprint all or any part of the Article, Author agrees to ensure that the third party includes a notice indicating that the Article was originally published in the UC Irvine Journal of International, Transnational, and Comparative Law, giving the Article’s full title, and citing the volume and page number at which the Article originally appeared.
1. Author’s Representations and Warranties. Author hereby represents and warrants that:
1. Author is the sole author of the Article, has the full power and authority to enter into this Agreement, and has obtained any necessary permissions from any third parties to grant the rights granted herein;
2. the Article has not previously been published, in whole or in part;
1. the Article as submitted by Author does not infringe any copyright, violate any other proprietary right, contain any libelous matter, invade the privacy of any person, or contain any matter that is otherwise unlawful; and
2. Author has not previously licensed, transferred, or otherwise disposed of any of the rights in the Article licensed herein.
3. Author’s Indemnification. Author hereby agrees to indemnify and hold harmless the University and its officers, agents, and employees:
1. from any claim, action, or proceeding alleging facts that constitute a breach of any representation or warranty made by Author in this Agreement; and
2. against any expenses and attorney’s fees that may be incurred as a result of any such claim, action, or proceeding.
4. This Agreement constitutes the sole agreement between Author and the University with respect to the Article. Any modifications of or additions to the terms of this Agreement shall be in writing.
